Terms & Conditions TERMS AND CONDITIONS FOR YOUR USE OF THE LANGUAGE LINE® PERSONAL INTERPRETER℠ SERVICE Please read this Agreement carefully. Your use of the LanguageLine® Personal Interpreter℠ Service constitutes acceptance of all these terms and conditions. Language Line Services, Inc., a Delaware corporation ("LanguageLine" or "us" or "we"), a subsidiary of Teleperformance SE, and you, the Customer (referred to as "you"), agree that the terms and conditions in this Agreement apply to your use of the LanguageLine® Personal Interpreter℠ Service (the "Service"). Our Privacy and Cookie Policies are found at https://www.teleperformance.com/en-us/data-privacy-information-and-inquires/ and https://www.languageline.com/cookie-policy are incorporated into and subject to these Terms by reference. Please review these Policies for information about how we collect, use, and share information, including the data rights available to you. ARBITRATION NOTICE AND CLASS ACTION WAIVER: EXCEPT FOR CERTAIN TYPES OF DISPUTES DESCRIBED IN SECTIONS 15 AND 16 BELOW, YOU AGREE THAT DISPUTES BETWEEN YOU AND US WILL BE RESOLVED BY BINDING, INDIVIDUAL ARBITRATION AND YOU WAIVE YOUR RIGHT TO PARTICIPATE IN A CLASS ACTION LAWSUIT OR CLASS-WIDE ARBITRATION. 1. ACCEPTANCE OF TERMS A. Agreement to the Terms. Each time that you access or use the Service you signify that you have read, understand, and agree to be bound by these Terms. If you do not agree to any of these Terms you must discontinue using the Service. B. Eligibility. You must be at least 18 years old or have reached the age of majority in the jurisdiction in which you reside to use the Website and Service, and by registering with the Service you attest that you have reached the age of majority and have the legal capacity to be legally bound by these Terms. C. Electronic Form/Communications. By accessing or using the Website or Service you consent to having this Agreement provided to you in electronic form and receiving communications from us electronically. We may communicate with you by e-mail or by posting notices on the Personal Interpreter℠ Website. You agree that all agreements, notices, disclosures, and other communications we provide to you electronically satisfy any legal requirements that such communications be in writing. 2. USE OF THE SERVICE; ACCOUNTS. The Service is available through your phone or a software application you can download onto a smartphone (the "App"). The Service is restricted to users who have been given a PIN and Authentication Code by LanguageLine. We may terminate your account and access to the Service if we learn that you have provided us with false or misleading registration data. If we believe your account has been breached, is insecure or otherwise problematic, we may require you to terminate your account. If you forget your password, you can request a new one through use of the encrypted process we provide for that purpose. 3. CHARGES AND PAYMENTS. The fees you will be charged for using the Service are identified on the Website for the Service. https://www.languageline.com/interpreting/personal-interpreter. THE FEES ARE SUBJECT TO CHANGE FROM TIME TO TIME AND THE THEN-CURRENT RATES WILL APPLY TO YOUR USE OF THE SERVICE. The fees will be charged to the credit card on file with us for your account. Your credit card information will be kept in a secure, encrypted environment. You credit card details will be captured by LanguageLine when you submit an order for use of the Service. If we cannot validate your credit card, you will be contacted by LanguageLine for order confirmation and payment details prior to your ability to use the Service. When you provide payment information ("Billing Information") to LanguageLine or its authorized processor, you represent that you are an authorized user of the payment card, PIN, Authentication Code, account or other payment method specified by you ("Payment Method"), and you authorize LanguageLine to charge such Payment Method for the full amount of the transaction. The terms of your payment will be based on your Payment Method and may be determined by agreements between you and the financial institution, debit/credit card issuer or other provider of your chosen Payment Method (the "Payment Method Provider"). If LanguageLine does not receive payment from your Payment Method Provider, you agree to pay all amounts due on your account upon demand. In the event we are advised of insufficient funds in your account or credit to cover your payment by your Payment Method, we may re-present such un-cleared or rejected payment, or any lessor amount thereof, to your Payment Method Provider. In the event we have to collect unpaid amounts you owe us, you will be liable for all collection costs, including attorneys' and collection agency fees. LanguageLine reserves the right to correct any errors or mistakes that it makes even if it has already requested or received payment and to update your information from available third-party sources. In the event LanguageLine cannot charge the Payment Method you provide we reserve the right to terminate your order and invoice you for any unpaid amounts. You must promptly notify LanguageLine if your Payment Method is canceled (e.g., for loss or theft). If you fail to notify us, you remain responsible for any continued charges to the Payment Method you provided. 4. YOUR USE OF THE SERVICE. A. Personal/Business Use Only. You represent that you will only use the Service for your own personal or business internal purposes and not for re-sale (the "Permitted Uses"). B. Prohibited Uses. The following uses of the Service are prohibited: any use other than the Permitted Uses, the transmission of any message or other material which constitutes an infringement of any copyright, patent or trademark; an unauthorized disclosure of a trade secret; the transfer of any information or technology abroad in violation of any applicable export law or regulation; a violation of Section 223 of the Communications Act of 1934, as amended, 47 U.S.C. Section 223, or other criminal prohibitions regarding the use of telephones to transmit obscene, threatening, harassing or other messages specified therein; a libelous or slanderous statement; a violation of any third party's rights of privacy under HIPAA, Graham-Leach-Bliley or other applicable federal or state law; or a violation of any other applicable statute or government regulation. C. Your Indemnification Responsibility. You agree to defend and indemnify LanguageLine, its parent and their respective affiliates, officers, directors, employees and agents, and their respective successors and assigns and to hold them harmless from any claim or action whatsoever arising from the use of the Service in any manner prohibited by this Section. 5. PRIVACY OF INFORMATION AND COMMUNICATIONS. A. In providing the Service, LanguageLine will make reasonable efforts to ensure the privacy of your information and any communications with us and will comply with current laws regarding the privacy of your information, including, as applicable, personally identifiable personal or health information protected under a law or regulation, including HIPAA, Graham-Leach-Bliley, the General Data Protection Regulation (EU) 2016/679 (the "GDPR") and the California Consumer Privacy Act. B. LanguageLine does not monitor or record or any of the interpretation sessions, whether by phone or video, during the use of the Service, and does not require any information from you other than that entered into the Service registration form. Specifically, we will only maintain the following information: first/last name, email address, company name [if applicable], address, phone number, assigned PIN, Authentication Code and a hashed version of your password. All credit card or other Payment Method information is maintained by a secure third-party service and is not maintained by LanguageLine. Accordingly, LanguageLine does not and will not maintain any personal information protected by HIPAA or other applicable privacy law other than the non-credit card information provided by you in the registration form. C. We do not accept customer Business Associate Agreements, Non-Disclosure Agreements or other documents for use of this Service. Our sole obligations of confidentiality are set forth in these terms and conditions and in our standard Business Associate Agreement. If your industry requires a Business Associate Agreement, our Business Associate Agreement for personal information and data covered by HIPAA can be accessed at CustomerCare@LanguageLine.com. D. We use the information we collect from you only for our internal business purposes or for communicating with you regarding your account, and we may share that information with our affiliated businesses for the same purposes. Under applicable law, LanguageLine may be obligated to reveal information or communications which evidence or constitute criminal activity. That said, unfortunately, no transmission of data is guaranteed to be completely secure. It may be possible for third parties not under our control to intercept or access transmissions or private communications unlawfully. Therefore, any transmission of your personal information, including your credit card information, to us is made at your own risk. Please see our Privacy Policy at https://www.teleperformance.com/en-us/data-privacy-information-and-inquires. 6. DISCLAIMER OF WARRANTY. LANGUAGELINE MAKES NO REPRESENTATION, WARRANTY OR GUARANTEE, EXPRESS OR IMPLIED, ABOUT THE SERVICE, INCLUDING BUT NOT LIMITED TO THE AVAILABILITY, ACCURACY, COMPLETENESS OR TIMELINESS OF ANY INTERPRETATION OR TRANSLATION. LANGUAGELINE DOES NOT WARRANT THE AVAILABILITY OF INTERPRETERS FOR ALL LANGUAGE PAIRS AT ALL TIMES, AND LANGUAGELINE SPECIFICALLY DISCLAIMS ANY WARRANTY OR CONDITION OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE. CUSTOMER RECOGNIZES THAT OVER-THE-PHONE AND VIDEO INTERPRETATIONS MAY NOT BE ENTIRELY ACCURATE IN ALL CASES. 7. EXCLUSIVE REMEDY AND LIMITATION OF LIABILITY. A. FOR PURPOSES OF THE EXCLUSIVE REMEDY AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION, "LANGUAGELINE" SHALL BE DEEMED TO INCLUDE LANGUAGE LINE, LLC, ITS PARENT, AFFILIATES AND THEIR RESPECTIVE SUCCESSORS, DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, REPRESENTATIVES, SUPPLIERS, SUBCONTRACTORS, TRANSLATORS AND INTERPRETERS (WHETHER EMPLOYEES OR INDEPENDENT CONTRACTORS)(COLLECTIVELY REFERRED TO IN THIS SECTION AS "LANGUAGELINE") AND "DAMAGES" WILL REFER COLLECTIVELY TO ALL INJURY, DAMAGE, LOSS OR EXPENSE INCURRED. B. LANGUAGELINE'S CHARGES FOR THE SERVICE ARE ESTABLISHED IN RELIANCE ON THE EXCLUSIVE REMEDY AND LIMITATIONS OF LIABILITY SET FORTH IN THIS SECTION. CUSTOMER ACKNOWLEDGES THAT IT ELECTS TO ACCEPT CHARGES CALCULATED ON THIS BASIS, AND AGREES THAT THIS ALLOCATION OF RISK OF LIABILITY IS FAIR, REASONABLE, AND NOT UNCONSCIONABLE. CUSTOMER UNDERSTANDS AND ACKNOWLEDGES THAT THE CHARGES FOR THE SERVICE ARE UNRELATED TO THE VALUE OF CUSTOMER'S BUSINESS OR THE POTENTIAL FOR INDIRECT, INCIDENTAL, CONSEQUENTIAL, AND SPECIAL DAMAGES OR ANY OTHER DAMAGES IN EXCESS OF THOSE ALLOWED BY THIS SECTION. YOU RETAIN THE RIGHT TO PURCHASE INSURANCE TO COVER ANY ADDITIONAL LOSS OR LIABILITY. C. IN ACCORDANCE WITH THE UNDERSTANDINGS SET FORTH ABOVE, THE PARTIES AGREE AS FOLLOWS: LANGUAGELINE'S ENTIRE LIABILITY AND YOUR EXCLUSIVE REMEDY FOR DAMAGES CAUSED BY DEFECT OR FAILURE OF THE SERVICE OR ARISING FROM THE PERFORMANCE OR NONPERFORMANCE OF THE SERVICE, REGARDLESS OF THE FORM OF ACTION, WHETHER IN CONTRACT, TORT, INCLUDING NEGLIGENCE, STRICT LIABILITY OR OTHERWISE, SHALL BE LIMITED TO A CREDIT OR REFUND OF THE CHARGES FOR THE SERVICE WHICH GAVE RISE TO THE CLAIM. LANGUAGELINE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL OR CONSEQUENTIAL DAMAGES, OR FOR LOST PROFITS, SAVINGS OR REVENUES OF ANY KIND, WHETHER OR NOT LANGUAGELINE HAD KNOWLEDGE, ACTUAL OR CONSTRUCTIVE, THAT SUCH DAMAGES MIGHT BE INCURRED. THIS SUBSECTION SHALL SURVIVE FAILURE OF AN EXCLUSIVE REMEDY. BECAUSE SOME JURISDICTIONS DO NOT ALLOW FOR THE EXCLUSION OF DAMAGES, LANGUAGELINE'S LIABILITY IN SUCH JURISDICTIONS SHALL BE LIMITED TO THE GREATEST EXTENT PERMITTED BY THE LAW OF SUCH JURISDICTION. IN ADDITION, BECAUSE SOME JURISDICTIONS DO NOT PERMIT THE DISCLAIMER OF CERTAIN WARRANTIES, THE DISCLAIMERS SET FORTH ABOVE MAY NOT APPLY TO YOU. 8. SUBCONTRACTS. LanguageLine may subcontract any or all of the Service to be performed to third parties, including independent interpreters, but, subject to the exclusive remedies and limitations of liability set forth in these Terms and Conditions, it shall retain responsibility for the work that is subcontracted. 9. MODIFICATION TO SERVICES. LanguageLine has the right to modify its Service and its Website at any time in its sole discretion which may include upgrades, bug fixes, patches, other error corrections, and/or new features (collectively, including related documentation, "Updates"). Updates may also modify or delete in their entirety certain features and functionality. You agree that LanguageLine has no obligation to provide any Updates or to continue to provide or enable any particular features or functionality or other aspects of its Service. Your only right with respect to any dissatisfaction with any modifications made to the Website or Service, or any policies or practices of LanguageLine in providing its Service is to cancel your account and/or stop using the Website or Service. 10. INTELLECTUAL PROPERTY. A. Ownership of Content, the InSight® App and Marks. The Website and Service, and all content published on or accessible through the Website and Service ("Content"), and the video app (the "App") are owned by LanguageLine, its affiliates or its licensors, and are protected by laws governing copyrights, patents, trademarks, trade secrets and/or other proprietary rights. LanguageLine owns a copyright in the selection, coordination, arrangement and enhancement of such Content and copyright in the Website and the App. All trademarks, logos, service marks, trade names, and trade dress appearing in the Content or on or in the App or on the Website, including without limitation the services marks LANGUAGE LINE, INSIGHT, and LANGUAGE LINE PERSONAL INTERPRETER ("Marks"), are proprietary to LanguageLine, its affiliates, or its licensors. You acknowledge that you do not acquire any ownership rights in any Content, the App or Marks downloaded or accessed from the Website or Service. You may not frame or utilize framing techniques to enclose any Marks or Content (including images, text, page layout, or form) nor use any Marks. You agree not to copy, reproduce, publish, transmit, distribute, perform, sell, create derivative works of, or in any way exploit, the Website, Service, Marks or Content, in whole or in part, without the prior written consent or LanguageLine. You also agree not do or attempt to do any of the following with respect to the App: reproduce, reverse engineer, modify, or share it, or use it for any purpose other than the Service. B. Our Limited License to You. You acknowledge and agree that the Website, Service, App and Content are provided under a non-exclusive, revocable license, and not sold, to you. You do not acquire any ownership interest in the Website, Service, App or Content, or any other rights thereto other than the non-exclusive, revocable ability to use the Website, Service, App and Content in accordance with the license granted, and subject to all terms, conditions, and restrictions under these Terms. Specifically, LanguageLine grants you a limited, personal, non-exclusive, revocable, non-assignable, and non-transferable license to download and use the App and access (but not through scraping, spidering, crawling or other technology or software used to access data) and display the Content (excluding any software code) solely for your personal use in connection with accessing and using the Service as reasonably necessary to use them for their intended purpose. LanguageLine and its licensors reserve all rights not expressly granted in and to its respective Website, Service, App, Marks and Content. You may not use the Website, Service, Marks, App or Content in a manner that has not been authorized by us. C. Injunctive Relief. You expressly acknowledge and agree that there may be no adequate remedy at law for a breach of this Section, that such a breach may irreparably harm LanguageLine and LanguageLine is entitled, without limiting any of its other remedies at law or equity, to obtain injunctive relief (temporary, preliminary and permanent) from any court of competent jurisdiction immediately upon request and without the need to post a bond or security, with respect to any such breach or potential breach of these Terms. 11. YOUR LEGAL LIABILITY; INDEMNIFICATION. You agree to defend, indemnify and hold harmless LanguageLine and its parent, affiliates, and their respective , directors, officers, subsidiaries, employees, agents, and licensors from and against all damages, losses, liabilities, claims, and costs (including, but not limited to, reasonable attorneys' fees and costs including costs to respond to regulatory inquiries, actions or subpoenas) related to all third party claims, charges, and investigations, arising from, relating to, or caused by your failure to comply with these Terms. 12. FORCE MAJEURE. Neither LanguageLine, its affiliates nor their respective successors shall be liable in any way for any loss, damage, delay or failure of performance resulting directly or indirectly from any cause which is beyond LanguageLine's control, including but not limited to: fire, explosion, lightning, pest damage, power surges or failures, strikes or labor disputes, water, acts of God, the elements, war, civil disturbances, acts of civil or military authorities or the public enemy, inability to secure raw materials, product or transportation facilities, fuel or energy shortages, acts or omissions of communications carriers, or any other cause beyond LanguageLine' control whether or not similar to the foregoing. 13. SUPPLEMENT, MODIFICATION OR WAIVER. Any supplement, modification or waiver of any provision of this Agreement must be in writing and signed by authorized representatives of LanguageLine. 14. WAIVER AND FAILURE TO EXERCISE RIGHTS. The waiver by LanguageLine of any breach of this Agreement shall not operate as a waiver of subsequent breaches of the same or different kind. The failure of LanguageLine to exercise any rights under this Agreement in a particular instance shall not operate as a waiver of the party's right to exercise the same or different rights in other instances. 15. ARBITRATION / DISPUTE RESOLUTION FOR U.S. RESIDENTS A. Governing Law. These Terms shall be governed by and construed in accordance with the laws of the State of California without application of conflict of laws rules, except that these Arbitration provisions shall be governed by the Federal Arbitration Act. B. Resolution of Any Dispute. In the event a dispute arises between you and LanguageLine ("Dispute"), we want to provide you with an efficient, neutral and cost-effective means of resolving the dispute. Most customer concerns can be resolved quickly and to the customer's satisfaction by contacting us by writing to Language Line Services, Inc., One Lower Ragsdale Drive, Building 2, Monterey CA 93940, Att: Contracts Administration. If a Dispute has not been resolved by negotiations within 90 days as provided hereinabove, such Dispute shall be submitted to JAMS, or its successor (collectively, "JAMS"), for mediation as provided hereinbelow. Any party involved in the Dispute may commence mediation by providing to JAMS and each other party involved in the Dispute a written request for mediation, setting forth the subject of the Dispute and the relief requested. The parties will cooperate with JAMS and with one another in selecting a mediator from JAMS' panel of neutrals and in scheduling the mediation proceedings. The parties covenant that they will participate in the mediation in good faith, and that they will share equally in its costs. All offers, promises, conduct and statements, whether oral or written, made in the course of the mediation by any of the parties, their agents, employees, experts and attorneys, and by the mediator and any JAMS employees, are confidential, privileged and inadmissible for any purpose, including impeachment, in any litigation or other proceeding involving the parties; provided, however, that evidence that is otherwise admissible or discoverable shall not be rendered inadmissible or non-discoverable as a result of its use in the mediation. None of the parties may commence arbitration or a civil action with respect to the matters submitted to mediation until after the completion of the initial mediation session, or 30 business days after the date of filing the written request for mediation, whichever occurs first. Mediation may continue after the commencement of arbitration or a civil action, if the parties so desire. C. Venue. The exclusive venue for Arbitration shall be the JAMS office located in San Francisco California, and the exclusive venue for any civil action shall be the Monterey Superior Court located in Monterey CA or if a federal claim is involved, in the federal court for the Northern District of California located in San Jose CA. You hereby waive the right to challenge these venues or to challenge the personal jurisdiction over you of the Monterey Superior Court located in Monterey CA or the federal court for the Northern District of California located in San Jose CA. D. Jury Trial Waiver. YOU AND LANGUAGELINE EACH VOLUNTARILY WAIVE THE RIGHT TO A TRIAL BY JURY IN RESOLVING ANY DISPUTE BETWEEN US ARISING OUT OF THESE TERMS OR THE SITES OR SERVICES. E. Class Action Waiver. YOU AND LANGUAGELINE EACH AGREE THAT CLAIMS AGAINST THE OTHER MAY ONLY BE BROUGHT IN AN INDIVIDUAL CAPACITY AND NOT IN A CLASS ACTION OR REPRESENTATIVE PROCEEDING. All arbitrations under these Terms must be conducted on an individual (and not a class-wide) basis, and an arbitrator will have no authority to award class-wide relief. You acknowledge and agree that these Terms specifically prohibit you from commencing any legal proceedings as a representative of others, participating in a class, representative, or collective action as a class representative, class member or an opt-in party, acting as a private attorney general, or joining or consolidating claims of any kind with claims or proceedings brought by any other person ("Class Action Waiver"). F. Arbitration Procedures. A party who intends to seek arbitration must first send to the other a written Notice of Dispute describing the nature and basis of the Dispute and setting forth the specific relief sought ("Notice"). All Notices to LanguageLine must be sent to the following address: Language Line Services, Inc., One Lower Ragsdale Drive, Building 2, Monterey CA 93940, Att: Chief Financial Officer. Our notice to you will be sent to you based on the most recent contact information that you provide us but if no such information exists or if such information is not current, then we have no obligation under this Section. Upon receipt of such Notice, the receiving party will have a 60-day period in which it may satisfy the claims raised in the Notice against it by fully curing the claim, providing all the relief requested in the Notice, or entering into a settlement to resolve the Dispute to the mutual satisfaction of the parties. After the expiration of such 60-day cure period, you or LanguageLine may commence an arbitration proceeding. Unless otherwise agreed to by you and LanguageLine in writing, the arbitration will be governed and conducted by JAMS before a single arbitrator with substantial experience in the internet industry and shall follow substantive law in adjudicating the Dispute. This Section shall be construed as a written agreement to arbitrate pursuant to the Federal Arbitration Act ("FAA"). You and LanguageLine agree that this Section satisfies the writing requirement of the FAA. The arbitration of any claim will be conducted in the State of California, and for any non-frivolous claim that does not exceed USD $5,000.00, you shall have the choice as to whether the hearing is conducted in person or by telephone. Each party will pay the fees and costs of its own counsel, experts and witnesses. The JAMS rules are available on its website at www.jamsadr.com. To the extent that this dispute resolution Section conflicts with JAMS minimum standards for procedural fairness, the JAMS rules and/or minimum standards for arbitration procedures in that regard shall control. Neither party shall sue the other party other than as provided herein or for enforcement of this clause or for the arbitrator's award; and any such suit may be brought only as noted above. The arbitrator, and not any federal, state, or local court, shall have exclusive authority to resolve any Dispute relating to the interpretation, applicability, unconscionability, arbitrability, or enforceability of these Terms including any claim that all or any part of these Terms are void or voidable. However, the preceding sentence shall not apply to the clause entitled "Class Action Waiver". G. Exception to Arbitration. Only disputes or actions pertaining to LanguageLine's intellectual property rights, or statutory claims that pursuant to law are not arbitrable, are exempt from arbitration. H. Severability. If any provision of this Section is declared or found by a court of competent jurisdiction or arbitrator to be unlawful, unenforceable or void, such provision will be ineffective only to the extent that it is found unlawful, unenforceable or void, and the remainder of the provision and all other provisions will remain fully enforceable, except that if the Class Action Waiver for any Claim cannot be enforced, then the provision to arbitrate will not apply. 16. DISPUTE RESOLUTION NON-U.S. RESIDENTS. In the event of any Dispute, you and we agree to send a written notice to the other providing a reasonable description of the dispute, along with a proposed resolution of it. Our notice to you will be sent to you based on the most recent contact information that you provide us but if no such information exists or if such information is not current, then we have no obligation under this section. Your notice to us must be sent to us at Language Line Services, Inc., One Lower Ragsdale Drive, Building 2, Monterey CA 93940, Att: Chief Financial Officer. For a period of 60 days from the date of receipt of notice from the other party, LanguageLine and you will engage in a dialogue to attempt to resolve the Dispute, though nothing will require either you or LanguageLine to resolve the dispute on terms either you or LanguageLine, in each of our sole discretion, deem are unsatisfactory. Nothing in this section will prevent a party from pursuing their claims in court or another complaint process. If your country of residence or establishment is outside the U.S., these Terms will be governed by and interpreted in accordance with English law. The application of the United Nations Convention on Contracts for the International Sale of Goods (CISG) is excluded. This choice of law does not impact your rights as a consumer according to the consumer protection laws of your country of residence. If you are a consumer, you may be able to bring judicial proceedings against us arising from or in connection with these Terms in a court within a jurisdiction according to the laws of your country of residence or the English courts. If you are acting as a business, you agree to submit to the exclusive jurisdiction of the English courts. The obligations of the parties under this Agreement which by their nature would continue beyond the termination or cancellation of this Agreement shall survive such termination or cancellation, including the following Sections: 1A, 3, 4, 5, 6, 7, 10, 11, 14, 15, 16, 17, 18, 19, 22, 23. 18. NO THIRD-PARTY BENEFICIARIES. Neither this Agreement nor the provision of the Service shall be construed to create any duty or obligation on the part of LanguageLine to any third parties, including, without limitation, any persons participating in or the subject of conversations for which the Service are provided. This Agreement does not provide any third party with any right, privilege, remedy, claim or cause of action against LanguageLine, its affiliates or their respective successors. 19. SEVERABILITY. If any provision of this Agreement is held to be invalid or unenforceable, such provision shall be severed from this Agreement with respect to the matter in question, and the remainder of the Agreement shall remain in full force and effect. 20. TERMINATION. In its sole and absolute discretion, with or without notice to you, LanguageLine may suspend or terminate your use of and access to the Service, terminate your account and/or remove and discard anything transmitted by you, or information stored, sent, or received via the Service without prior notice and for any reason, including, but not limited to: (i) concurrent access of the Service with identical user identification, (ii) permitting another person or entity to use your user identification to access the Service, (iii) any unauthorized access or use of the Service, (iv) any violation of these Terms, (v) tampering with or alteration of any of the App and/or data files contained in, or accessed through, the Service, or (vi) failure to use the Service on a regular basis. Such suspension or termination may include, but not be limited to, suspension or termination of access or rights to receive any content. You may terminate your account for any reason by emailing LanguageLine at CustomerCare@LanguageLine.com. LanguageLine shall not be liable to you or any third party for any claims or damages arising out of any termination or suspension of the Service. Termination, suspension, or cancellation of the Service or your access rights shall not affect any right or relief to which LanguageLine may be entitled, at law or in equity, and all rights granted to you will automatically terminate and immediately revert to LanguageLine. 22. COMPLETE AND FINAL AGREEMENT. This Agreement constitutes the complete and final agreement between the parties with respect to its subject matter and supersedes all prior oral or written understandings or statements and cannot be modified or changed except by LanguageLine or in any agreement signed by LanguageLine. You may not assign your rights under your LanguageLine Account or this agreement to any third party without LanguageLine's prior written permission. LanguageLine may assign these Terms, in whole or in part, at any time. The rights and remedies of LanguageLine under these Terms and any other applicable agreement between you and LanguageLine shall be cumulative, and the exercise of any such right or remedy shall not limit LanguageLine's right to exercise any other right or remedy. In the event of any conflict or inconsistency between any of these Terms or any other terms or conditions applicable to the Services, we shall determine which rules, restrictions, limitations, terms and/or conditions shall control and prevail in our sole discretion, and you specifically waive any right to challenge or dispute such determination.
